Each
Committee Chair, in consultation with the Chairman of the Board,
shall establish agendas and set meetings at the frequency and
length appropriate and necessary to carry out the Committee's
responsibilities.
Any Director who is not a member of a particular Committee may
attend any Committee meeting with the concurrence of the Committee
Chair or a majority of the members of the Committee.
